Terms of Service

1. Scope

These Terms of Service apply to the use of this website and to all services provided by MediaPhone Digital Services, Achtern Born 127c, 22549 Hamburg (Altona), Germany ("we", "us"). Our services are intended for artists, labels and other rights holders acting in a business or professional capacity. If you have an individual written agreement with us, its terms take priority over these Terms.

2. Our services

We provide services related to YouTube and YouTube Music, including:

• Official Artist Channel (OAC) applications and channel setup
• music distribution to YouTube and YouTube Music
• membership in our Multi-Channel Network (MCN)
• Content ID and rights management
• catalog and metadata management

The exact scope, fees and duration of a service are confirmed in writing (for example by email or in an individual agreement) before we start work.

3. No guarantee of platform decisions

YouTube is an independent platform owned by Google LLC. Decisions such as approving an Official Artist Channel, applying Content ID matches, resolving disputes or monetizing content are made by YouTube. We prepare and submit everything carefully, but we cannot guarantee a particular decision, timeline or revenue result. MediaPhone Digital Services is not affiliated with or endorsed by Google LLC.

4. Official Artist Channel service

The OAC service is a paid service. The fee is quoted individually and agreed in writing before we start. Payment terms and conditions for refunds, for example if YouTube rejects an application, are set out in your quote or individual agreement.

5. MCN membership and revenue share

Channels in our MCN are managed on a revenue share basis of 70/30: the channel owner receives 70% and MediaPhone Digital Services receives 30% of the net revenue that we receive from YouTube for the channel. Payment intervals, minimum payout amounts, reporting and the notice period for leaving the network are set out in your individual agreement.

6. Your obligations

By using our services, you confirm that:

• you own, or have all necessary rights to, the music, recordings, artwork and other content you provide to us
• your content does not infringe the rights of third parties
• the information you provide, including metadata and ownership details, is correct and complete
• you comply with YouTube's Terms of Service, Community Guidelines and monetization policies

You agree to indemnify us against claims by third parties that result from a breach of these obligations, unless you are not responsible for the breach.

7. Rights you grant us

To provide our services, you grant us the non-exclusive right to reproduce, deliver, register and manage your content on YouTube and YouTube Music, including in Content ID, for the duration of our agreement. Ownership of your content stays with you.

8. Termination

Notice periods are set out in your individual agreement. We may end a service with immediate effect for good cause, especially if you provide content you do not have the rights to, or if your channel repeatedly breaks YouTube's policies.

9. Liability

We are fully liable for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence, we are only liable for breaches of essential contractual obligations, and our liability is limited to foreseeable damage typical for this type of agreement. We are not liable for decisions, outages, policy changes or payment delays of YouTube or Google.

10. Use of this website

The content of this website is provided for general information and does not constitute a binding offer. You may not copy or reuse the design, text or graphics of this website without our written consent.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a merchant, a legal entity under public law or have no general place of jurisdiction in Germany, the place of jurisdiction is Hamburg, Germany.

12. Changes

We may update these Terms. Changes do not affect agreements already in place unless we agree otherwise with you.
